MORE2WAGES Subscription Agreement (Terms and Conditions) for WPS Payroll Processing.
By subscribing to MORE2WAGES services for WPS Payroll Processing (the “Services”), you, the Customer, agree to the terms and conditions outlined in this Agreement with MORE2WAGES and its affiliates (collectively, “MORE2WAGES”).
Term of the Agreement
The Agreement's duration (“Term”) is one year from the subscription start date, automatically renewed unless either party provides a 30-day termination notice.
Definitions
User: Active account with Software access.
Customer: Business entity purchasing the software subscription and its individual end-users.
Access to the WPS Payroll Processing Software
MORE2WAGES manages the WPS Payroll Processing Software on the MORE2WAGES Cloud Platform. Individual figures are not disclosed without Customer consent, ensuring compliance with the Privacy Policy.
Upon expiration or termination, the subscription ceases immediately, and the Customer agrees to stop using the Software and Cloud Platform.
WPS Payroll Processing Services
5.1 Bug Fixing Service
MORE2WAGES commits to addressing reported Software Bugs within two business days, excluding those caused by unauthorized modifications.
5.2 Security Updates Service
Security Bugs discovered on the Cloud Platform-hosted Software are promptly addressed.
5.3 Cloud Hosting Services
When using the Cloud Platform, MORE2WAGES provides Tier-III data centres, Grade A SSL Encryption, automated backups, and a Disaster Recovery Plan.
5.4 Support Services
During this Agreement, the Customer may open support tickets for guidance on standard Software and Service features.
Charges and Fees
6.1 Standard Charges
Charges are based on User numbers and Software version. Visa and MasterCard are accepted.
6.2 Inactive User Accounts Policy
MORE2WAGES may terminate inactive accounts after 60 days.
6.3 Taxes
Fees are exclusive of taxes; the Customer pays associated taxes.
Conditions of Service
7.1 Customer Obligations
Secure user accounts and adhere to the Acceptable Use Policy.
7.2 No Soliciting or Hiring
No employment solicitation during the Agreement and 12 months post-termination.
7.3 Publicity
Each party allows reproducing names, logos, and trademarks for referencing in marketing materials.
7.4 Confidentiality
Parties agree to keep disclosed information confidential, disclosing only as compelled by law.
Surviving Provisions
Warranties, disclaimers, limitation of liability, and force majeure provisions survive termination.
Modification of Terms of Service
MORE2WAGES may modify with notice; Customers can terminate within 30 days of notice.
This MORE2WAGES Subscription Agreement establishes transparent, mutually beneficial terms for utilizing the WPS Payroll Processing Software, fostering a productive partnership between MORE2WAGES and the Customer.
